Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") govern your access to and use of KeyChat — the websites, applications, and APIs we provide (together, the "Service"). By creating a workspace or using the Service you agree to these Terms on behalf of yourself and, if applicable, the business you represent. If you do not agree, do not use the Service.

2. The Service

KeyChat is a customer-messaging platform that lets businesses connect messaging channels (such as WhatsApp, Instagram, Facebook Messenger, Telegram, and a website chat widget), operate AI-powered assistants ("AI employees") that respond to customer conversations, manage a shared team inbox, maintain a knowledge base, book appointments, and send outbound campaigns.

3. Accounts and workspaces

  • You must provide accurate account information and keep your credentials secure. You are responsible for all activity in your workspace.
  • You must be at least 18 years old and authorized to act for the business that owns the workspace.
  • Workspace owners and admins control team access, connected channels, provider keys, and billing.

4. Subscriptions, billing, and plan limits

  • Paid plans are billed monthly in advance through our payment processor, Stripe. Taxes may apply depending on your location.
  • Each plan includes usage limits (for example, the number of enabled AI employees, active channels, and monthly conversations). If you exceed a limit you will be asked to upgrade; if a subscription lapses or is downgraded, resources above the new limits may be disabled.
  • You can upgrade, downgrade, or cancel at any time from the billing page. Cancellation takes effect at the end of the current billing period; we do not provide prorated refunds except where required by law.
  • We may change plan pricing or limits with reasonable advance notice; changes apply from your next billing period.

5. AI providers and generated content

  • The Service operates using large language model providers (such as Anthropic or OpenAI) accessed through API keys that you supply. You are responsible for maintaining those provider accounts, complying with the providers' terms, and paying the providers for usage.
  • AI-generated responses can be inaccurate, incomplete, or inappropriate despite guardrails. You are responsible for supervising your AI employees, reviewing their configuration, and correcting anything sent on your behalf. The Service is not a substitute for professional (legal, medical, financial) advice.
  • You remain responsible for everything communicated to your customers through your workspace, whether written by a human or an AI employee.

6. Your content and data

  • You retain all rights to the content you and your customers submit to the Service — messages, contacts, knowledge documents, templates, and settings ("Customer Content").
  • You grant us a limited license to host, process, transmit, and display Customer Content solely to provide and improve the Service, including sending it to the AI providers and messaging channels you have connected.
  • You are responsible for having a lawful basis to process your customers' data through the Service, including any required notices and consents.

7. Acceptable use

You agree not to use the Service to:

  • send spam or unsolicited messages, or contact people without the consents required by law and by the messaging platforms you use;
  • violate the policies of connected platforms (including Meta's WhatsApp, Messenger, and Instagram terms, and Telegram's terms);
  • transmit unlawful, deceptive, harmful, or infringing content, or impersonate others;
  • attempt to probe, disrupt, or gain unauthorized access to the Service or other tenants' data;
  • resell or white-label the Service without our written agreement.

We may suspend or terminate workspaces that violate these rules, create risk for other customers or the platforms we integrate with, or fail to pay.

8. Third-party services

The Service depends on third parties — messaging platforms, AI providers, payment processing, and email delivery. Their availability and terms are outside our control, and features that rely on them may change if those services change. Your use of a connected third-party service is governed by that service's own terms.

9. Termination

You may stop using the Service and delete your workspace at any time. We may suspend or terminate access for breach of these Terms, legal requirements, or non-payment. Upon termination we will, on request and where feasible, provide a reasonable opportunity to export your Customer Content before deletion.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated content will be accurate.

11. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our total liability for all claims arising out of the Service is limited to the amounts you paid us in the twelve months before the event giving rise to the claim (or USD 100 if you paid nothing). Nothing in these Terms limits liability that cannot be limited by law.

12. Indemnification

You will indemnify and hold us harmless from claims arising out of your Customer Content, your use of the Service in violation of these Terms or applicable law, or your violation of third-party platform policies.

13. Changes to these Terms

We may update these Terms from time to time. For material changes we will give notice (for example, by email or in the app) before the changes take effect. Continuing to use the Service after the effective date constitutes acceptance of the updated Terms.

14. Governing law and contact

These Terms are governed by the laws of the jurisdiction in which the operator of KeyChat is established, without regard to conflict of law rules, and disputes will be resolved in the courts of that jurisdiction unless mandatory local law provides otherwise.
